These Terms of Service ("Terms") form a binding agreement between you ("you" or "user") and Replai ("Replai", "we", "us"). By creating an account, connecting a Facebook Page, or otherwise using Replai (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Replai lets businesses connect a Facebook Page and build visual, automated Messenger conversation flows — sending replies, applying delays, tagging conversations, branching on message content, and optionally generating AI-assisted responses using a third-party AI provider and API key that you supply.

• You must be at least 18 years old to use the Service.
• You must provide accurate registration information and keep your login credentials confidential; you are responsible for all activity under your account.
• You must have the legal authority to connect and manage any Facebook Page you link to Replai — for example, as its administrator or an authorized representative of the business that owns it.

When you connect a Facebook Page, you authorize Replai to access and act on that Page via the Meta Graph API and Messenger Platform, consistent with the permissions you grant. You represent that this connection, and your use of the resulting automations, complies with Meta's Platform Terms, Developer Policies, and the Messenger Platform Policy — including rules on messaging windows, message tags, and prohibited content. You are solely responsible for the content your automations send. We may suspend automations or Page connections that we reasonably believe violate Meta's policies or these Terms.

You agree not to use the Service to:

• Send spam, unsolicited bulk messages, or content outside Meta's permitted messaging windows/tags.
• Send unlawful, deceptive, harassing, hateful, or sexually explicit content.
• Collect or process data about others without a lawful basis and appropriate notice.
• Attempt to reverse engineer, disrupt, or gain unauthorized access to the Service or its infrastructure.
• Use the Service in a way that violates Meta's policies, applicable law, or a third party's rights.

AI-generated replies are optional and require you to supply your own API key for a provider such as OpenAI, Anthropic, Google, or OpenRouter. Your use of that provider is subject to its own terms, and you are responsible for its costs and for any output it generates on your Page's behalf. Replai is not responsible for the accuracy, appropriateness, or availability of third-party AI output, and you should review automations before relying on them for sensitive communications.

You retain ownership of the content you upload or generate through the Service (automations, Business Memory entries, and messages sent through your Page). You grant Replai a limited license to host, process, and transmit that content solely to operate and provide the Service to you.

Replai is currently offered in a development/beta capacity and may be free or offered under trial terms. If we introduce paid plans, we will provide notice of applicable fees and any changes before they take effect for your account.

The Service, including its software, design, and branding, is owned by Replai and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service normally.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, Meta's policies, or applicable law, or if necessary to protect the Service or other users. Upon termination, we will handle your data as described in our Privacy Policy.

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that automations will send or receive messages successfully at all times (including due to outages or changes on Meta's platform outside our control).

To the maximum extent permitted by law, Replai and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim relating to the Service is limited to the amount you paid us, if any, in the 12 months before the claim arose.

You agree to indemnify and hold Replai harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms, applicable law, or Meta's policies.
